1. Purpose
This policy explains how UrbanBook handles vendor payouts, settlement timing, deductions, payout holds, failed payouts, payout disputes, and related records.
2. Payout Eligibility
Vendors may receive payouts for completed eligible transactions after applicable fees, refunds, commissions, taxes where handled, chargebacks, penalties, subscription amounts, adjustments, and other deductions are applied.
UrbanBook may require vendor verification, active account status, valid payout details, completed customer fulfillment, and absence of unresolved risk issues before payout.
3. Settlement Timing
Payout timing may vary by category, payment method, vendor status, transaction type, refund window, dispute risk, customer confirmation, provider processing time, holidays, and operational review.
UrbanBook may publish expected payout timelines, but these are estimates unless a separate written agreement states otherwise.
4. Deductions
UrbanBook may deduct:
- Platform commissions.
- Subscription or plan fees.
- Promotional fees.
- Payment processing costs.
- Refunds or partial refunds.
- Chargebacks and related costs.
- Customer compensation caused by vendor fault.
- Damage, penalty, or recovery amounts where applicable.
- Unpaid vendor balances.
- Taxes or statutory amounts where UrbanBook is required to withhold or collect them.
Vendors will receive records or summaries where available.
5. Payout Holds
UrbanBook may hold or delay payouts where there is:
- Active customer dispute or refund review.
- Suspected fraud, policy breach, or payment abuse.
- Chargeback or payment reversal.
- Incomplete or failed verification.
- Incorrect or disputed payout details.
- Safety complaint or legal concern.
- High cancellation, refund, or complaint pattern.
- Vendor account suspension or termination.
- Court, authority, or regulator request.
UrbanBook may release all or part of a held payout after review.
6. Failed Payouts
If a payout fails because of incorrect details, closed accounts, provider issues, name mismatch, verification failure, or other reasons, UrbanBook may request updated details and retry where appropriate.
Vendors are responsible for maintaining accurate payout information.
7. Negative Balances
If deductions exceed available vendor funds, the vendor may owe UrbanBook the difference. UrbanBook may recover negative balances from future payouts, request payment, restrict vendor access, or take other lawful steps.
8. Payout Disputes
Vendors should raise payout disputes promptly through official support channels and include the relevant payout period, transaction references, expected amount, received amount, and reason for dispute.
UrbanBook may review records and issue corrections where appropriate.
9. No Circumvention
Vendors must not ask customers to pay outside UrbanBook to avoid commissions, payout holds, refund rights, support records, or platform fees where UrbanBook requires in-platform payment.
10. Tax and Accounting
Vendors remain responsible for their own tax, accounting, and financial reporting unless UrbanBook expressly states otherwise.
